Specific consulting engagements are governed by a separate written agreement (such as a proposal, statement of work, or master services agreement) signed by both parties. If a signed engagement agreement conflicts with these Terms, the signed agreement controls for that engagement.

Services may be customized based on client requirements and project scope.
Our AI-related services are also subject to our AI Services Disclaimer, which is incorporated into these Terms by reference.
As a client, you agree to:
• Provide accurate and complete information
• Make timely decisions and approvals
• Provide necessary access and resources
• Comply with all applicable laws
• Not use our services for illegal or harmful purposes
Invoices will be provided according to the project agreement and payment schedule established with the client.
Payment is due within thirty (30) days of invoice date unless otherwise agreed in writing. Late payments may incur additional fees and interest charges at the rate of 1.5% per month.
The client owns all rights to custom deliverables, including websites, custom code, content, and project-specific work product created exclusively for the client under this agreement.
Byte the Bullet retains all intellectual property rights to pre-existing tools, frameworks, templates, processes, methodologies, and intellectual property not specifically created for the client.
You agree to indemnify and hold harmless Byte the Bullet, LLC and its members and contractors from any claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from content or materials you provide, your use of deliverables, or your violation of these Terms or applicable law. This includes third-party claims that materials you supplied infringe their intellectual property or other rights.
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of two (2) years.
In no event shall Byte the Bullet be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid by client in the twelve months preceding the claim.
Byte the Bullet is not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, outages, service or vendor failures, labor disputes, or government actions.
Services are provided "as-is" without warranty of any kind, express or implied. We do not warrant that services will be uninterrupted, timely, secure, or error-free.

Either party may terminate the agreement with thirty (30) days written notice. Upon termination, client remains responsible for payment of services rendered to date.
This agreement is governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law provisions.
Any disputes arising from this agreement shall first be addressed through good faith negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in Montana. Arbitration will be conducted under the rules of the American Arbitration Association. Each party waives any right to participate in a class or representative action.
We reserve the right to modify these terms at any time. Changes are effective immediately upon posting. Continued use of our services indicates acceptance of modified terms.
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with any signed engagement agreement, constitute the entire agreement between the parties regarding their subject matter. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
